Terms of Service
The rules for using LeClub, in plain English. The short version: it is software to run your boat with your crew, you own your content, and we are not your lawyer, insurer or navigator.

01The agreement
These Terms of Service (“Terms”) are an agreement between you and Le Club Group LLC (“LeClub,” “we,” “us”) for your use of the LeClub iOS app, the LeClub web app and leclub.io (the “Service”). By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.
The “Governing law and disputes” section contains an arbitration agreement and a class action waiver that affect how disputes are resolved.
02Definitions
- Boat: a vessel set up in the Service, together with its shared records.
- Crew: the members of a Boat. An Owner is a member with the owner role, who can invite and remove members. A role in the app does not by itself establish legal ownership, an ownership percentage or financial liability.
- Your Content: anything you or your crew add, including records, photos, documents and messages.
- Capi: the assistant features in the Service.
- Capi credits: prepaid usage units, shown in US dollars, that a Boat spends when its crew uses Capi.
- Membership: a paid plan, such as Core or FoundingVIP, described at the point of purchase. In the iOS app, memberships and Capi credits are sold through Apple In-App Purchase.
03Accounts and eligibility
- You must be at least 18 and able to enter a binding contract.
- Give accurate information and keep your email address current. We sign you in with Sign in with Apple or with one-time codes sent to that address, so keep your Apple ID and email account secure.
- One account per person. Do not share your account or sign in as someone else.
- Tell us at [email protected] straight away if you think someone else has accessed your account.
04What LeClub is, and is not
LeClub is software for organizing a boat: bookings, maintenance, issues, documents, trips and shared costs, along with club features and introductions.
- Not an advisor. We are not a broker, lender, insurer, surveyor, marine mechanic, lawyer, accountant or investment advisor. Nothing in the Service is legal, tax, financial, insurance or investment advice.
- Not a party to your ownership arrangements. Agreement templates and operating-model tools are a convenience, not a substitute for a lawyer. You and your co-owners are responsible for your agreements being valid where you live.
- Not a navigation or safety system. Do not rely on the Service for navigation, weather decisions, collision avoidance or emergencies. Follow official charts, forecasts and maritime rules. In an emergency, call the Coast Guard or use VHF channel 16.
- Third-party services. When we introduce you to marinas, mechanics, captains or other providers, they are independent. Their work, prices and conduct are between you and them.
- Weather and conditions. Forecasts, observations, buoy data and alerts come from NOAA and the National Weather Service and can be late, incomplete or wrong.
05Capi and automated features
Capi can draft entries, summarize information and suggest actions. It can be wrong. Check anything important, especially amounts, dates, maintenance and safety items, before you rely on it or share it with your crew. You are responsible for records you confirm.
06Capi credits
- Each Boat has one credit balance, shared by its crew. A new Boat starts with a small starter credit, a Core membership adds credits each month, and owners of a Core Boat can buy top-ups in the app.
- Using Capi spends credits based on the work it does: a short answer uses very little, and larger tasks use more, such as researching parts and prices on the web (about five times a normal answer) or preparing a request for quotes and reading the replies. The balance is shown in the app, and Capi stops when it reaches zero until the Boat tops up.
- Credits have no cash value, cannot be transferred to another Boat or exchanged for money, and are non-refundable except where the law requires otherwise or Apple grants a refund for an App Store purchase.
- Unused credits carry over while the Boat exists. They end if the Boat is deleted, or if we close an account for breaking these Terms.
- We may change how many credits a task uses. We will not change the price of credits you have already bought.
07Shared boats and your crew
- Owners decide who joins a Boat. Only invite people you are entitled to share the Boat’s information with.
- Everything added to a Boat is visible to its crew. Do not add information you are not willing to share with them.
- If you leave or are removed from a Boat, you lose access to its records. Records you created stay with the Boat so the crew keeps its history.
- Booking rules, cost splits and schedules are set by your crew. We provide the tools; we do not decide disputes between co-owners, and we are not responsible for them.
08Boat documents and reminders
- You can store a Boat’s documents, such as insurance, registration, towing policies and marina leases. They are visible to the Boat’s crew. Only upload documents you have the right to share with them.
- Expiry dates and reminders are a convenience based on the dates you enter. Keeping your insurance, registration and other papers valid is your responsibility, and a missing reminder does not change that.
- A document stored in the app is not a substitute for the original where the law or an authority requires you to carry or show it.
09Marketplace and requests for quotes
- The marketplace lists independent marinas, repair shops, suppliers and other providers. A listing or rating is not a recommendation, guarantee or endorsement.
- Where available, you can ask Capi to request quotes for you. Capi prepares the request and the list of providers, and nothing is sent until an owner of the Boat approves it. We then share the boat details, description and photos in that request with the providers you approved. We do not share your phone number or email unless you choose to.
- Capi’s suggestions about what may be wrong or what to ask for are general information, not a marine survey, inspection or professional diagnosis.
- When Capi researches parts or gear, it shows products, prices and links from third-party stores and manufacturers. LeClub doesn’t sell them; prices, stock and fit can change, so check with the store and confirm fitment for your boat before you buy. Purchases are between you and the store.
- Quotes, scheduling, payment and the work itself are between you and the provider unless the app clearly says a payment is handled through LeClub. Check a provider’s license and insurance before you hire them.
10Memberships and payments
- Prices, what each plan includes, and any trial or entry fee are shown before you pay. Plans renew automatically until you cancel.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Fees are non-refundable except where the law requires otherwise or where we say so at purchase. Referral rewards are paid as Capi credits to the Boat unless we tell you otherwise.
- Invite another boat. When a boat joins with your Boat’s invite link and pays its first full month of Core, both Boats receive the credit shown in the app. Rewards are for genuine new boats: we may withhold or reverse rewards for self-referrals, duplicate or fake boats, or other abuse, and we may change or end the program for future invitations.
- We may change prices with at least 30 days’ notice. The change applies from your next renewal.
- You are responsible for applicable taxes.
- FoundingVIP and other founding benefits are service benefits only. They are not equity, a security, an investment or a share of revenue in Le Club Group LLC.
- Purchases made through the App Store are billed by Apple and follow Apple’s payment, renewal and refund rules.
Beta features may be free for a period. We will tell you before a free beta feature starts to cost money.
11Acceptable use
You agree not to:
- break the law, or use the Service to commit fraud or misrepresent a boat or its ownership;
- upload content you do not have the right to share, or content that is unlawful, abusive or harassing;
- access a Boat or account you have not been invited to, or try to get around access controls;
- probe, scan or test the Service’s security without our written permission, or interfere with its operation;
- copy, scrape or reverse engineer the Service, except where the law allows it;
- use the Service to build a competing product.
We have zero tolerance for objectionable content and abusive users, including in crew chat and Capi chats. Anyone can report a message or block a member from the app. We review reports within 24 hours, remove content that breaks these Terms and may suspend or remove the member who posted it. You can also write to [email protected].
12Your content
You keep ownership of Your Content. You give us a limited license to host, store, copy, process and display it only to run, secure and improve the Service for you and your crew. You confirm you have the rights needed to upload it. We may remove content that breaks these Terms.
13Our intellectual property
The Service, including its software, design, the LeClub and Capi names and logos, is owned by Le Club Group LLC. We give you a personal, revocable, non-exclusive, non-transferable license to use it under these Terms. If you send us feedback, ideas or bug reports, including through the app’s feedback form, we may use them without obligation to you.
14Beta and TestFlight builds
Pre-release versions, including builds distributed through TestFlight, are for testing. They may be incomplete, change without notice, or lose data. Keep your own copies of important documents. Please report problems to [email protected].
15Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise the Service will be uninterrupted or error-free.
16Limitation of liability and indemnity
To the fullest extent the law allows, Le Club Group LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$100.
You agree to indemnify Le Club Group LLC and its members, officers and employees against third-party claims arising from your misuse of the Service, your breach of these Terms, or a dispute between you and another co-owner, crew member or provider.
Some places do not allow these limits, so parts of this section may not apply to you.
17Governing law and disputes
These Terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-law rules.
Before starting a formal dispute, email [email protected] and give us 30 days to try to resolve it. If we cannot, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Either party may bring an individual claim in small claims court instead. You and we waive any right to a jury trial and to take part in a class or representative action. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.
18Ending your use
You can stop using the Service and delete your account at any time. We may suspend or close an account that breaks these Terms, puts others at risk, or where the law requires it. Where it is reasonable, we will tell you first and let you export your data. Sections that by their nature should survive, including those on your content, our intellectual property, disclaimers, liability and disputes, survive termination.
19If you use the iOS app
- These Terms are between you and Le Club Group LLC, not Apple. We, not Apple, are responsible for the app, its content, maintenance and support.
- Apple has no obligation to provide maintenance or support for the app. If the app fails to meet an applicable warranty, you may notify Apple for a refund of any purchase price; otherwise Apple has no warranty obligation.
- We, not Apple, handle any claims about the app, including product liability, legal or regulatory compliance, consumer protection and intellectual property claims.
- You confirm you are not in a country subject to a US embargo and are not on a US government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
20Changes to these Terms
We may update these Terms. For material changes we will give at least 14 days’ notice by email or in the app, and the app will ask you to review and agree to the new Terms. If you do not agree, you can stop using the Service and delete your account. Continuing to use the Service after the effective date means you accept the new Terms.
